à la demande de MM.
Sim & McBurney,
le
registraire a fait parvenir l'avis visé à l'article 45 de la Loi
sur les marques de commerce à Aram Markarian et Sarkis Tabakian,
faisant affaires sous la raison sociale Mantab Trading Corporation.
La marque de commerce OLYMPIC a été enregistrée le 3 octobre 1969
.
pour emploi en liaison avec les marchandises suivantes: (1) fruits
en conserve
et légumes en conserve et ( 2) huiles destinées à
l'alimentation
humaine. Le ler mars 1978, l'enregistrement
a été
modifié par l'ajout des marchandises suivantes: (3) champignons en
conserve, tomates en conserve et pâte de tomate en conserve.
Au cours de la procédure selon l' article 45, l' enregistrement a été modifié par l'inscription de Mantab Inc. comme le propriétaire de la marque de commerce.
L'affidavit d'Aram Markarian a été fourni en réponse à l'avis du
registraire.
Le requérant a présenté un plaidoyer écrit et les
deux parties ont été représentées à une audience.
Au début de l'audience, j'ai informé les deux parties que j'avais
trouvé un document portant sur plusieurs marques de commerce, y
compris la marque de commerce en cause, daté du 16 mars 1981 et
déposé auprès de la section des cessions du Bureau des marques de
commerce le 18 mars 1981. Le document avait été versé au fichier
No. 387,501 (le
fichier principal) et une note avait été versée
au
dossier actuel faisant état d 'une cession en
instance de la
présente marque de commerce. Voici le document daté du 16 mars

Etant d’avis que ces documents pouvaient peut-être être pertinents
aux fins de
la présente procédure
selon l'article 45, j'en ai fait
tenir copie à chacune
des parties et je leur ai demandé de formuler
leurs observations concernant les documents en question dans le
cadre de leurs arguments oraux. L'audience a été suspendue pendant
une demi heure.
En
ce
qui
concerne
la
preuve
fournie en
réponse
à
l'avis
dudu
/
Registraire, la partie requérante a affirmé ce qui suit:
La
preuve d'emploi
produite n'est pas une preuve
suffisante d'après la décision rendue par la
Cour d'appel fédérale dans l'affaire
53 C.P.R. (2d) 62 et de la décision de la section
de première instance de la Cour fédérale dans
des marques de commerce, 55 C. P . R . 92d) 34.
Il n’y a pas d'emploi au Canada par le propriétaire
inscrit ou un usager inscrit tel qu'exigé dans
(3d) 46.
Le document produit à 1'appui de la prétendue cession
à Mantab Inc. des droits liés à la marque de commerce
est incomplet et il incombait au titulaire de fournir
des éléments de preuve pour étayer la prétendue cession.
La prétendue cession ne peut être considérée prendre
effet A compter du 23 mars 1981 (as of March 23, 1981),
comme il pourrait être conc1u au vu du document,
étant donné que ce1ui-ci n'a peut-être pas été
signé à cette date -Marcus, supra.
Le document en date du 16 mars 1981 ne change rien

à la situation.
Pour ce qui est de la
preuve d'emploi déposée, je
suis convaincu
qu’elle suffit à démontrer
l'emploi de la marque de commerce à la
date qui fait foi en
liaison avec toutes les marchandises
enregistrées
à l'exception
des huiles destinées à l'alimentation
humaine.
M.
Markarian a déclaré que la marque de commerce était
employée à
la date qui fait foi; il a annexé des étiquettes échantillons
indiquant l'utilisation de la marque
de commerce en liaison avec
les marchandises à la date en
question. Au paragraphe 8 de son
affidavit, M. Markarian déclare
que les factures montrent bien que
la marque de commerce OLYMPIC était et continue d'être utilisée en
liaison avec toutes les marchandises "sauf quant à l'huile
qui est
un marché saisonnier
qui va et qui vient et qui à telle époque
n'était pas employée en
rapport avec la marque OLYMPIC".
La partie
requérante a signalé que l'affidavit ne fait pas mention
de chiffres d'affaires ou de dépenses de publicité; toutefois, dans
une procédure selon
l'article 45, un titulaire n'est pas tenu de
fournir de tels éléments de preuve même si ceux-ci
pourraient être
extrêmement;
utiles. Le titulaire doit établir des faits permettant
de parvenir à une
conclusion quant à son
utilisation de la marque
de commerce dans la pratique normale du commerce. La partie
requérante prétend que
les activités commerciales normales du
titulaire n'ont pas été
clairement établies. Toutefois, au
paragraphe 12 de son affidavit, Mr. Markarian a
clairement exposé
la pratique normale du titulaire en ce qui concerne les
marchandises en
cause.
Ayant
examiné la preuve, je suis convaincu qu'elle montre
que la
marque de commerce
OLYMPIC a effectivement été employée en liaison
avec toutes les marchandises en cause à l'exception des
huiles
destinées à
l'alimentation humaine. M.
Markarian n'a pas donné de
détails sur les raisons du défaut d'emploi de la marque de commerce
relativement aux huiles destinées `s l'alimentation humaine sauf pour
dire que "c'est un marché saisonnier qui va et qui vient
l'absence de plus amples détails, je ne puis conclure que le défaut
d'emploi est dû à des circonstances particulières .
Il s'agit maintenant de déterminer si,dans le cas de l'emploi
démontré, il s'agit d'un emploi par le propriétaire inscrit ou par
un usager inscrit.

A mon avis, cette question est beaucoup plus
J' examinerai tout d' abord la question de savoir si le document
produit à titre de pièce AM2 atteste en bonne et due forme d'une
cession qui a eu lieu le 23 mars 1981 mais qui n'avait pas été
enregistrée à la date de l'avis.
A cet égard, il convient de se
reporter à la décision de la Cour d' appel fédérale dans l' affaire
Marcus, supra, selon laquelle, dans toute procédure selon l' article
45, le registraire devrait faire preuve de scepticisme à l'égard
des transactions effectuées après la date de l' avis donné en
application de l' article 45.
Par conséquent, il faut examiner
minutieusement la preuve produite afin de déterminer si les droits
liés à la marque de commerce ont effectivement été cédés le 23 mars
1981 par Aram Markarian et Sarkis Tabakian, faisant affaires sous
la raison sociale Mantab Trading corporation, à Mantab Inc.
(antérieurement connue sous le nom Mantab Trading Corporation).
Le document de cession est reproduit ci-dessous pour en faciliter
la consultation:

Comme on peut le constater, le document de cession (dont l'original
a été déposé auprès de la section des cessions du Bureau le 15 mars
1988)
à été souscrit "as of March 23,
1981".
A mon avis,
le
document est ambigüe; il ne semble pas avoir été signé le 23 mars
1981, mais il semble avoir été signé de manière à prendre effet,
rétroactivement,
le
23 mars
1981.
Ainsi,
nous
ne
savons
pas
exactement quand ce document a été souscrit ni quand la cession a
eu lieu.
Au paragraphe 5 de son affidavit, M. Markarian mentionne
que
la marque
de
commerce
a
été transférée
le
23
mars
1981;
toutefois,
il
faut des
éléments de preuve à
l'appui
de cette
allégation et le document de cession dépose ne constitue pas une
preuve à
l'appui.
Par conséquent,
il semble bien,
d' après ce
document, qu' il y ait eu un transfert de propr i.é té", mais il est
impossible de déterminer clairement quand ce transfert a eu lieu.
Quant au document daté du
16 mars
1981,
la partie
requérante
faisait
, étant
donné notamment
que la lettre fait allusion à un
changement
de nom, de Mantab
Trading Corporation
à Mantab Inc., et
non à un
transfert de propriété . Il
signale que le Bureau
s' est
interrogé sur
le changement de nom, étant
donné que la marque de
commerce était
enregistrée au nom d'Aram
Markarian et de Sarkis
Tabakian faisant
affaires sous la raison
sociale Mantab
Trading
Corporation.
Par contre,
le représentant du titulaire a soutenu
que le document
daté du 16 mars vient étayer les
déclarations faites au paragraphe
5 de l'affidavit
de M. Markarian, selon
lesquelles la marque de
./"
commerce a été cédée à Mantab Inc.; que le document daté du 16 mars
a été
rédigé par une personne
qui n'était pas au courant de
ce que
comporte une cession de droits liés à une marque
de commerce, et
que M. Markarian
parlait en réalité d'un transfert de propriété.
A
mon avis, comme le
document daté du 16 mars (date qui précède
la
date rétroactive indiquée
dans le document de cession produit à
titre de pièce AM2) référé au changement de nom, de
Mantab Trading
Corporation à Mantab Inc., la
question à se
poser est quand a eu
lieu le transfert de propriété, d'
Aram Markarian et Sarkis Tabakian
faisant affaires sous la raison sociale Mantab Trading
Corporation à Mantab Trading
Corporation, s' il y a effectivement eu un tel
transfert de propriété.
La partie requérante
a affirmé qu'étant donné les
inconsistances
en ce qui concerne l'
identité du propriétaire , il incombait à
celui-ci
de produire des éléments de
preuve établissant exactement
ce qui s'est passé et à quel moment.
Il a ajouté qu’à l'heure
actuelle, personne ne sait
qui est le propriétaire de la
marque de
commerce et que
1 'on se
demande si celle-ci a été enregistrée
initialement en bonne et due forme.
Je suis
d'avis avec la partie requérante que le
propriétaire aurait
du déposer des
éléments de preuve permettant
de déterminer
clairement ce qui s'est passé et quand ca s'est passé.
Peut-être y a-t-il eu non un transfert de propriété, mais une
erreur dans l' identification du propriétaire de la marque de
commerce à la date de dépôt de la demande d' enregistrement de
celle-ci.
Je trouve fort étrange que la raison sociale sous
laquelle les deux particuliers font affaires au Québec soit
identique au nom d'une corporation constituée au Québec. La Mantab
Trading corporation, qui semble avoir été constituée en société le
17 mai 1967, c' est-à-dire avant la date à laquelle la demande
d'enregistrement a été présentée (voir l'affidavit de M. Markarian)
et qui semble avoir changé son nom pour Mantab Inc. en 1981 (voir
l'affidavit de M. Markarian) était peut-être censée être le
requérant de la demande d' enregistrement mais a été identifiée, à
tort, comme une raison sociale our le nom d' une société de
personnes.
si c' est le cas, le titulaire aurait peut-être pû
demander que l'erreur dans le nom du propriétaire inscrit soit
corrigé en vertu de l'alinéa 41(1)(a) de la Loi sur les marques de
commerce. Toutefois, il s'agit là d'une simple conjecture, car il
n'existe aucune preuve permettant d'établir clairement que tel ait
été le cas. De
plus, cette hypothèse semble douteuse, étant donné
que dans le document de cession produit à titre
de pièce AM2 le nom
Mantab Trading Corporation parait à la fois à titre de raison
sociale et comme le nom de la société légalement constituée.
Etant donné que ni le document de cession ni le document du 16 mars
1981 n'atteste en bonne et due forme d'une cession qui a eu lieu
antérieurement à la date de l'avis, il s'ensuit qu'à la date de
l' avis donné en application de l' article 45, le propriétaire
inscrit était toujours Aram Markarian et Sarkis Tabakian faisant
affaires sous
la raison sociale Mantab Trading corporation. Par
conséquent, étant donne que la preuve d'emploi produite ne démontre
pas l'emploi de la marque de commerce par Aram Markarian et Sarkis
Tabakian faisant affaires sous la raison sociale Mantab Trading
Corporation, je dois conclure que l'emploi dont il est fait état
n'est pas l'emploi par le propriétaire inscrit ou par un usaqer
inscrit.
Par conséquent, il convient de radier l'enregistrement
de cette marque de commerce du registre.
Je me suis penché, par ailleurs, sur la question de savoir si le
défaut d'emploi pourrait être considéré comme un défaut d'emploi
technique,
analogue à celui établi dans l'affaire George Weston
-
Ltd. c. Sterling & Affiliates, 3 C.P.R.(3d) 527.
Toutefois, je
suis d'avis que, dans l'affaire dont il s'agit ici, si Mantab Inc.
a effectivement acquis les droits liés à la marque de commerce le
23 mars 1981, il lui incombait de produire des éléments de preuve
montrant clairement que ce transfert a eu lieu à cette date. Par
conséquent, j'estime que les circonstances dans cette affaire ne
sont pas analogues à celles dans l'affaire George Weston et qu'il
n' existe pas ici de circonstances spéciales pouvant excuser le
défaut d' emploi de la marque de commerce par le propriétaire
inscrit.
Etant donné la preuve produite dans cette affaire, je suis d'avis
que l'enregistrement de la marque de commerce en cause doit être
radié du registre.
Par conséquent, l'enregistrement No. 165,566 sera radié du registre
en application des dispositions du paragraphe 45(5) de la Loi sur
les marques de commerce.

On December 14, 1987, at the request of Messrs. Sim & McBurney, the Registrar forwarded a Section 45 notice to Aram Markarian and
Sarkis Tabakian trading as Mantab Trading Corporation.
The
trade-mark OLYMPIC was registered on October 3, 1969 for
use
in association with (1) canned fruits and canned vegetables
and (2) oils for human consumption.
On March 1, 1978, the
registration was amended by adding the following wares: (3) canned
mushrooms, canned tomatoes, and canned tomato paste.
During the course of the section 45 proceedings, the registration
was amended by recording Mantab Inc. as the owner of the trade-
mark.
In response to the Registrar's notice, the affidavit of Aram
Markarian was furnished.
The requesting party filed a written
submission and both parties were represented at an oral hearing.
At the commencement of the hearing, I informed both parties that
I had found a document dated March 16, 1981 which pertained to
several trade-marks including the present trade-mark and which had
been filed with the Assignment section of the Trade-marks Office
on March 18, 1981. The document had been put on file No. 287,501
(called the master file) and a note was inserted in the present
file indicating that there was a pending assignment involving the
present trade-mark.

As I was of the view that such documents might be relevant to the
present Section
45 proceedings, I provided each party with
a copy
and informed them that if they wished to make submissions on the
matter that they should do so as part of their oral submissions.
The hearing was adjourned for half an hour.
Concerning the registrant's evidence, the requesting party raised
the following arguments:
The evidence of use filed is the equivalent of no
evidence in light of the Federal Court of Appeal
decision in Plough (Canada) Ltd. v. Aerosol Fillers
Inc. 53 C.P.R. (2d) 62 and the Federal Court,
Trial division decision in S.C. Johnson & Sons Inc.
v. Registrar of Trade Marks, 55 C.P.R. (2d) 34.
There is no use in Canada by the registered owner
or a registered user as required in Marcus
v. The Quaker Oats Company of Canada, 20 C.P.R. (3d)
46.
The purported assignment of trade-mark rights to
Mantab Inc. is an incomplete record of the alleged
assignment and the onus was on the registrant to
bring evidence forward to support the assignment
purporting to be as of March 23, 1981; the purported
assignment cannot be allowed to take effect
"as of March 23, 1981" as it purports to do on its
face when it may not have been executed on that date
Marcus supra.
The
document of March 16, 1981 does not change
anything.

Regarding the evidence of use filed, I am satisfied that it is
sufficient to show use of the trade-mark at the material date in
association with all of the registered wares except "oils for human
consumption".
Mr. Markarian has stated that the trade-mark was in use at the
material date; he has attached sample labels showing how the mark
is associated with the wares at the time of sale; he has submitted
copies of representative invoices confirming that there were sales
made at the material time.
In paragraph 8, Mr. Markarian states
that the invoices establish that the trade-mark OLYMPIC was and is
still being
used in association with all of the wares "sauf quant
à l'huile qui est un marché saisonnier qui va et qui vient et qui à telle
époque n'était pas employée en rapport avec la marque
OLYMPIC".
The requesting party submitted that the affidavit makes no
reference to sales figures or advertising figures; however, in
section 45 proceedings, although that type of evidence might be
extremely useful, it is not required that a registrant submit such
evidence
What the registrant must do is establish facts from
which a conclusion of use in the normal course of trade would
follow. The requesting party contends that the registrant's normal
course of trade has not been defined. However, the statements made
in paragraph 12 of the Markarian affidavit clearly set out what the
registrant's normal course of trade is with respect to the wares.
Having reviewed the evidence, I am satisfied that it shows use of
the trade-mark OLYMPIC in association with all of the wares except
"oils for human consumption". Mr. Markarian has not elaborated on
the circumstances surrounding the non-use with respect to "oils for
~
human consumption" except to say that "c'est un marché saisonnier
qui va et qui vient…
"
Without further details I cannot
conclude that the absence of use has been due to special

circumstances.
The issue now is whether the use shown is use by the registered
owner or a registered user.
straightforward.
In my view, this issue is not as
I will first consider whether the document submitted as Exhibit AM2
is a valid confirmation of an assignment that had occurred on March
23, 1981 but had not been recorded.
In this regard, the decision
of the Federal Court of Appeal in the Marcus case,
supra,
is
authority for the proposition that the Registrar in a section 45
proceeding should view with scepticism transactions post-dating
the section 45 notice. Accordingly, it is necessary to carefully
consider the evidence filed in order to determine whether there
was, in fact, an earlier assignment of trade-mark rights from
Aram Markarian and Sarkis Tabakian trading as Mantab Trading
Corporation to Mantab Inc.

As
can be seen, the document (the original of which had been filed
with the Assignment section of the Office on March 15, 1988)
purports to be executed "as of March 23, 1981".
In my view, the
document is ambiguous; it does not appear to have been executed on
March 23, 1981 but
seems to have been executed so as to have
retroactive effect as of March 23, 1981. Consequently,
we do not
know when such document was executed nor when the assignment took
place. Mr. Markarian does mention in paragraph 5 of his affidavit
that the trade-mark was transferred on March 23, 1981; however,
such an allegation needed to be supported by evidence and the
assignment document as filed does not support such an allegation.
Consequently, from such document it would appear that a change of
ownership has occurred; however, it cannot be clearly determined
from it when such change of ownership has taken place.
As for the document dated March 16, 1981, the requesting party
states that it appears that Mantab Inc. did not know what it was
doing particularly since the letter makes reference to a change of
name from Mantab Trading Corporation to Mantab Inc., not a change
of ownership; he notes that the Office questioned the change of
name since the registration was standing in the name of Aram
Markarian and Sarkis Tabakian trading as Mantab Trading
Corporation.
On the other hand, the person representing the registrant argued
that the document of March 16 supports the statements made in
paragraph 5 of the Markarian affidavit, namely that the trade-mark
was assigned to Mantab Inc.; that the document dated March 16 was
prepared by a layperson who was not aware of all the ramifications
surrounding the transfer of trade-mark rights and that, Mr.
Markarian was, in his head, referring to a change of ownership.
In my view, as
the document of March 16 (which predates the
retroactive date given in the assignment document filed as Exhibit

AM2) refers to a change of name from Mantab Trading Corporation to
Mantab Inc., the question, therefore, is when did the change of
ownership from
Aram Markarian and Sarkis Tabakian trading as Mantab
Trading Corporation to Mantab Trading corporation occur, if
actually there was a change of ownership.
The requesting party has argued that because of all the
inconsistencies concerning the registrant's name, it was incumbent
on the registrant to file evidence establishing exactly what
happened and
when it happened. It added that as matters now stand
nobody knows who owns the mark and one wonders
whether the original
registration was proper.
I agree with the requesting party that clear evidence as to what
happened should have been filed.
Perhaps what occurred is not a change of ownership but an error in
the identification of the owner of the trade-mark at the date of
filing of the application for registration of the subject trade-
mark. What I find most unusual is the fact that the name under
which the two individuals are doing business in Quebec is identical
to the name of a corporation incorporated in Quebec. It may be that
Mantab Trading Corporation, which seems to have been incorporated
on May 17, 1967, i.e. prior to the filing date of the application
(see the Markarian affidavit) and which seems to have changed its
name to Mantab Inc. in 1981 (see the Markarian affidavit), might
have been intended as the applicant but it was wrongly identified
as a trading style or as the name of a partnership. If that is the
case, perhaps the registrant could have applied to have the error
in the name of the registered owner corrected under section
41(1)(a) of the Trade-marks Act.
However, this is pure
speculation, as there is no clear evidence that that might have
been the case. Furthermore, this seems questionable in view of the
assignment document that was submitted as Exhibit AM2
and which refers to the name Mantab Trading Corporation both as as

trading style and as the name of the incorporated company.
Since
neither
the assignment
document nor the document dated March
16, 1981 are a
valid confirmation of an assignment that
had
occurred earlier,
it therefore follows that at the date of the
section 45 notice
the registered owner was still
Aram Markarian and
Sarkis Tabakian trading as Mantab Trading Corporation.
Consequently, as
the evidence of use furnished does not show use
of the trade-mark
by Aram Markarian
and Sarkis Tabakian t/a Mantab
Trading Corporation, I
have no alternative but to conclude that
the
use shown is not use by the registered owner or a registered
user.
Accordingly, the trade-mark registration
ought to be expunged from
the register.
I have considered
whether the non-use could be
considered technical
non-use similar to that concluded
in the case George Weston Ltd.
v. Sterlinq &
Affiliates, 3 C.P.R.
(3d) 527. However, I am of the
view that, in this case, if
Mantab Inc. did acquire the rights in
the trade-mark on March 23, 1981, that clear
evidence confirming
that the assignment had occurred on such date could
have been
submitted. Consequently, I conclude that the
circumstances in this
case are not parallel to those in the George Weston case, and that
in this instance, there
are no special circumstances to excuse the
non-use by the registered owner.
In view
of the evidence filed in this case, I conclude that
the
subject trade-mark registration ought to be expunged from the
register.
Accordingly, Registration No. 165,566 will be expunged from the

register in compliance with the provisions of ss. 45(5) of the
Trade-marks Act.
